Carbon Inset Programme Terms & Conditions

Terms and Conditions for Carbon Inset Programme, an initiative of DP World UK (London Gateway Port Limited and Southampton Container Terminals Limited) which is being administered by DP World Southampton (trading name of Southampton Container Terminals Limited a company registered in England and Wales with company number 01960484 and whose registered office is located at 16 Palace Street, London SW1E 5JQ)

In these Terms and Conditions (as defined below) references to “we” or “us” means DP World Southampton.

1. Initiative

1.1 We are running an initiative (Initiative) whereby import laden containers (ILC) and export laden containers (ELC) at the port will be eligible to earn a carbon inset certificate, which will have a value depending on the quantity.

1.2 Customers moving cargo through DP World UK ports at Southampton and London Gateway will earn carbon inset certificates per eligible ILC or ELC, with the value of such certificates determined and communicated by us.

1.3 We are running this Initiative which can be extended or withdrawn at any time, and any insets/certificates earned will be provided as far as is feasible.

1.4 This Initiative will also include Container Terminal Inset Certificates (CTICs). CTICs reflect the carbon emission savings per container at DP World Southampton, compared to the GLEC standard.

1.5 You must voluntarily register to be eligible to earn the certificate, which will be at no extra cost to you.

2. How it works and our third party providers

2.1 In consideration of you signing up on the registration form, we shall work with our inter-affiliate company, those within our group or third party providers, to obtain further data on your behalf for the purposes of the Carbon Inset Programme, to be able to confirm the eligibility of the ILC or ELC to earn the certificate, and pass this on to you.

2.2 Some parts of the process are manual, and some rely on processes for the integration, extraction of data etc. using different electronic methods, to obtain the necessary data (e.g. EORI number) which may carry a risk of error in the upload and accuracy.

2.3 We do not create or process marine carbon inset certificates; we collaborate with Unifeeder, GreenBox, and Svitzer and the associated 123Carbon platform.

2.4 CTICs are created and processed by us, verified by Bureau Veritas and managed on the 123Carbon platform.

2.5 For ELCs, eligibility to receive carbon inset certificates is conditional upon export customs declarations being submitted via Community Network Systems (CNS) (a DP World company). 

2.6 The data extraction is provided free of charge on the express knowledge and acceptance that there are no conditions, warranties, representations, or other terms (express or implied) whatsoever in relation to the Initiative or associated service required for the Initiative, the value, validity, eligibility, performance, timing including for the avoidance of doubt the allocation of certificate or issuance of the certificate, whatsoever, express or implied, or compliance with laws or regulations in your jurisdiction that are binding on us. We will not be liable for the upload of the data, risk free from inter-affiliates or third parties. Any condition, warranty, representation or other terms concerning the Initiative which might otherwise be implied or incorporated, whether by statute, common law or otherwise, is excluded to the fullest extent permitted by law.

3. General

3.1 You acknowledge and accept that the Initiative may not meet or support any individual requirements you have.

3.2 We shall not in any circumstances be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Initiative.

3.3 We shall not be under an obligation to continue with the Initiative.

3.4 Time is not of essence in the performance of producing the certificate, and certificates will be issued to you at frequency to be determined by us and subject to change at our discretion.

3.5 You agree not to sell any insets/certificates or use the Initiative for the benefit of any third party.

3.6 No warranties are provided by us in providing this Initiative and all liabilities are expressly excluded.

3.7 Nothing in these Terms and Conditions shall limit or exclude our liability for:

3.8 death or personal injury resulting from our negligence;

3.9 fraud or fraudulent misrepresentation; or

3.10 any other liability that cannot be excluded or limited by English law.

3.11 By signing up, you confirm that you are authorised to enter into the Initiative on behalf of the participant company and agree to participate in the Initiative on the basis of these terms and conditions (Terms and Conditions) which may be updated or amended by us at any time.

4. Data protection and personal data

4.1 Under data protection legislation, we are required to provide you with certain information about who we are, how we process the personal data of those individuals who engage with the Initiative (and other services we offer) and for what purposes and those individuals' rights in relation to their personal data and how to exercise them. This information is provided at Privacy Policy | DP World | UK (Privacy Notice).  We rely on companies in the DP World Group to provide services including the Initiative which will be subject to similar privacy notices to our own. 4.2 We would like to send you information about our products and services that we think are relevant to your organisation from companies in the DP World Group. You can opt-out at any time.

 

5. Governing law and jurisdiction

5.1 These Terms and Conditions and any non-contractual disputes or claims are governed by English law. We both irrevocably agree to the exclusive jurisdiction of the courts of England.
